Article 14. The Inter-American Economic and Social Council shall hold its meetings at the headquarters of the Pan American Union or in any city of the member states, by decision of a majority thereof. Article 15. The representatives of the majority of the member states constitute a quorum.

Article 16. At the opening of its Annual Meeting at the Ministerial Level, the Inter-American Economic and Social Council shall elect a Chairman, a First Vice Chairman, and a Second Vice Chairman, who shall hold office until the following Annual Meeting at the Ministerial Level and may not be re-elected to their respective positions for the term immediately following. The election shall be held in accordance with the procedure established in the Regulations."1

Article 17. In addition to the duties assigned to him by these Statutes and by the Regulations, the Chairman is also expected to represent the Council at international meetings, when this body so determines.

Article 18. The Annual Meeting of the Inter-American Economic and Social Council at the Expert Level shall:

a. Adopt the agenda of the meeting, taking into account the proposals made in this regard by the member states, as well as the draft submitted to it by the General Secretariat.

b. Make a preliminary analysis of economic and social progress during the previous year in the Latin American countries, and transmit the results to the Annual Meeting of the Inter-American Economic and Social Council at the Ministerial Level, so that, together with the reports presented by the countries through the General Secretariat and the study material submitted by the General Secretariat itself, this analysis may serve as a basis for the Annual Review provided for in Article 19.d.

c. Analyze the result of the work accomplished by the General Secretariat during the previous fiscal year, within the competence of the Council, and formulate such observations and recommendations as it considers advisable to transmit to the Meeting of the Inter-American Economic and Social Council at the Ministerial Level.

d. Review and agree upon the proposed program and budget prepared by the General Secretariat for the activities of the Pan American Union within the competence of the Council, for the next fiscal year, and submit it with such recommendations as it considers advisable to the Meeting of the Inter-American Economic and Social Council at the Ministerial Level.

e. Review and agree upon the proposed work program and budget of the Program of Technical Cooperation and transmit it to the Meeting of the Inter-American Economic and Social Council at the Ministerial Level, together with such recommendations as are considered advisable on the orientation, scope, and financing of these activities.

late thereon such observations and recommendations as it considers. advisable.

g. Recommend to the Council of the Organization a date and place for specialized conferences, and approve the respective agenda and regulations.

h. Approve the draft agenda for the Annual Meeting of the InterAmerican Economic and Social Council at the Ministerial Level.

i. Decide upon other matters that may be presented to it. Article 19. The Annual Meeting of the Inter-American Economic and Social Council at the Ministerial Level shall:

a. Elect the Chairman and Vice Chairmen of the Council. b. Adopt the agenda of the meeting.

c. Decide upon the recommendations made by the Meeting of the Inter-American Economic and Social Council at the Expert Level regarding the work accomplished by the General Secretariat during the previous fiscal year with respect to the activities of the Pan American Union within the jurisdiction of the Council, as well as with respect to the Program of Technical Cooperation.

d. Make an annual review of the economic and social progress: achieved in the Latin American countries during the preceding year, including the progress made in the formulation, financing, and execution of the national development programs; analyze and discuss the problems encountered by each country, in order to exchange ideas on possible measures that might be adopted to intensify that progress, and to make such recommendations as may be considered appropriate with respect to general policies and measures to promote economic and social development in accordance with the Act of Bogotá 2 and the Charter of Punta del Este.43

This review shall be based upon the reports made by the Latin American countries on their economic and social development, upon the analytical and statistical material that the General Secretariat itself may submit for information purposes, and upon the result of the preliminary analysis made by the Annual Meeting of the InterAmerican Economic and Social Council at the Expert Level.

The results of this review shall be summarized in an Annual Report on the Progress and Prospects of Economic and Social Development in Latin America, which shall cover the principal achievements in, and problems of, economic and social development, the future tasks that need emphasis, and the outlook for the area as a whole. This report shall not endorse or condemn the programs or policies of any country in particular, but should make generalized evaluations.

e. Recommend, taking into account the Annual Report referred to in the preceding paragraph, policies and measures of inter-American cooperation intended to accelerate the process of economic and social development in the American states.

nomic and Social Council at the Expert Level for the work of the Pan American Union coming within the jurisdiction of the Council, for the following fiscal year, and transmit that proposed program and budget, with its recommendations and through the General Secretariat, to the Council Organization for final approval, under procedures that will simplify its review and ensure prompt consideration and a decision thereon.

g. Approve the proposed work program and budget of the Program of Technical Cooperation recommended by the Meeting of the InterAmerican Economic and Social Council at the Expert Level and receive offers of contributions for financing it.

h. Appoint the panel of experts referred to in paragraph 2 of Chapter V of Title II of the Charter of Punta del Este.

i. Decide upon other matters that may be presented to it.

j. Recommend to the Council of the Organization the date and place of the regular annual meetings of the Inter-American Economic and Social Council for the following year.

Special Meetings

Article 20. The Inter-American Economic and Social Council shall hold special meetings:

a. When so determined by the Inter-American Conference, the Meeting of Consultation of Ministers of Foreign Affairs, or the Council of the Organization.

b. In special circumstances, whose importance justifies such action. c. In the case contemplated in Article 27 of the Charter of the Organization.

When the Inter-American Economic and Social Council is not in session, the Chairman shall consult the representatives on the Council and shall convoke the special meeting in the cases referred to in paragraphs b. and c., after a majority of the member states has so agreed. The special meetings of the Inter-American Economic and Social Council may be held at the ministerial or expert level.

Voting

Article 21. The decisions of the Inter-American Economic and Social Council shall be taken by an absolute majority of the member states, except in cases in which these Statutes specify otherwise.

Committees and Working Groups

Article 22. The Inter-American Economic and Social Council may, during the course of each meeting, establish the committees and working groups it deems necessary to facilitate the work of that meeting.

Article 23. The Inter-American Economic and Social Council may establish, by a vote of two thirds of the member states, such special committees as it deems necessary, in which case it shall define their tasks and duration.

Article 24. The permanent executive committees that are established by Inter-American specialized conferences in the sphere of action of the Inter-American Economic and Social Council may be

attached to that Council for the purposes of coordination referred to in Article 64.b of the Charter of the Organization. Organization plans that the inter-American specialized conferences may recommend for this purpose shall be approved by the Council of the Organization after it has consulted with the Inter-American Economic and Social Council.

Secretariat

Article 25. The Pan American Union, as General Secretariat of the Organization, is the Secretariat of the Inter-American Economic and Social Council.

Article 26. The Secretary General of the Organization shall appoint the Executive Secretary of the Inter-American Economic and Social Council, in accordance with Article 88 of the Charter of the Organization.

Expenses

Article 27. The operating expenses of the Inter-American Economic and Social Council shall form part of the budget of the Pan American Union.

Article 28. The expenses incident to the delegations of the member states on the Inter-American Economic and Social Council shall be paid by the respective governments. Travel expenses incurred by the titular representatives participating in the Annual Meeting at the Ministerial Level will, however, be paid by the Pan American Union. Article 29. Before approving the addition of any activities not included in the proposed program and budget of the Pan American Union in the sphere of competence of the Inter-American Economic. and Social Council, or in the proposed Program of Technical Cooperation, the said Council shall bear in mind the financial implications as estimated by the General Secretariat.

Article 30. Any change made in the program and budget of the Pan American Union in the sphere of competence of the Council after this budget has been approved, shall require consideration of the respective financial implications, as estimated by the General Secretariat, as well as the approval of the Council of the Organization.

Amendments

Article 31. These Statutes may be amended by the Council of the Organization, in accordance with the provisions of Article 62 of the Charter.

Regulations

Article 32. The Inter-American Economic and Social Council shall issue its own Regulations.

Transitory Article

The provisions of Articles 18 and 19 of these Statutes will take full effect when the annual meetings referred to are convened. In the meantime, a Special Meeting of the Inter-American Economic and

Social Council at the Expert Level, convened by the Council of the Organization and following the agenda approved by this Council, will take up matters that most urgently require consideration and approval, and may therefore exercise the powers listed in Article 18.d and e, and Article 19.f, g and h.
