PAYMENT: Invoices and any required supplementing statements or certificates, each showing the contract number, are to be submitted by the Contractor to the cognizant Field Office of the Auditor General, U. S. Air Force, with as many copies thereof as are required by that office, for review and the preparation and certification of public vouchers, whereupon the public vouchers will be forwarded to the Coast Guard Testing and Development Division, U. S. Coast Guard Headquarters, Washington 25, D. C. for further review and certification as to receipt and acceptance, and thereafter will be forwarded to ACCOUNTING DIVISION, U S. COAST GUARD HEADQUARTERS, 6-9, WASHINGTON 25, D. C., for payment.

*GENERAL PROVISIONS: The General Provisions of this contract consist of the General Provisions HAVEXOS-3302 (6-54), Alterations in Contract (5-56) and Additional Alterations in Contract (10-57), attached hereto, as modified in the Schedule.

NOTE: WHEREVER THE WORDS "OFFICE OF THE COMPTROLLER OF THE AVY, CONTRACT | AUDIT
DIVISION" OR ANY OFFICES UNDER THE DIRECTION THEREOF, APPEAR IN THIS CONTRACT,
THEY SHALL BE CONSTRUED TO MEAN "AUDITOR GENERAL, U. §. AIRFORGE" AND ANY
OFFICES UNDER THE DIRECTION THEREOF.

COMPLETION OF WORK AND DELIVERY: All work hereunder shall be completed and delivered
f.o.. to the Chief, Testing and Development Division, U. 8. Coast Guard Headquarters,
Washington 25, D. C., as follows:

PHASE I of the contract as set forth under "DESCRIPTION OF WORK" on or bafora
31 March, 1959.

PHASE II of the contract as set forth under "DESCRIPTION OF WORK" on or before
31 March, 1960.

The Government shall make monthly payments, on account of the
fixed fee, equal to eight percent (8%) of the amount invoiced by the Contractor under
Claude 4 of the General Provisions hereof for the related month, subject to the with-
holding provisions of paragraph (c) of Clause 4 of the General Provisions entitled:
"Allowable Cost, Fixed Fee and Payment." In the event of discontinuance of the work
in accordance with the clause of the General Provisions hereof entitled "Imitation of
Cost, the fixed fee shall be redetermined by mutal agreement aquitably to reflect
the diminution of the work performed; the amount by which such fized fee is less than,
or exceeds, payments previously made on account of he, shall be paid to, þr rupali
by, the Contractor, as the case may be.

DESCRIPTION OF WORK:

The Contractor shall conduct an investigation, research and experimentation to provide measurement and analysis of data on the transmission of signals over water through fog in the following phases:

PHASE I, Evaluation of present U. S. Coast Guard Procedures for rating fog signals on the basis of range of audibility as outlined in J. S. Coast Guard Civil Engineering Report No. 29.

PHASE II, Study of the application of the results of the program conducted under U. S. Army Signal Corps Contract.

PHASE III, Development of "firing tables", nomographs, of other convenient method of data analysis to permit the rapid estimation of sound attenuation functions for fog signals over water through fog based on the findings of the study conducted under Phase II above.

GOVERNMENT PROPERTY: Micrometeorological instrumentation designed and built under U. 8. Army Signal Corps Contract.

ALLOWABLE COST AND NEGOTIATED OVERHEAD RATES:

(a) Supplementing Clause 4(a) of the General Provisions, all items of cost of the nature described in the following subparagraphs, determined to be allowable under said clause, shall be reimbursed as direct cost under this contract; provided, however, that any changes in such items made pursuant to the clause of the Schedule entitled "Negotiated Overhead Rates" at the time(s) of establishing final overhead rates, in order to conform direct costs to the basis upon which such rates are negotiated, shall continue in effect unless further changed by amandment:

(1) Direct Material Costs (exclusive of the costs covered by subparagraphs (3)
or (4) below) comprising the cost of property purchased or subcontracted
by the Contractor, withdrawn from the Contractor's store or stock rooms
or fabricated by the Contractor for the performance of this contract.

(2) Direct Labor Costs comprising the salaries and wages of personnel directly
employed in the performance of this contract, excluding therefrom old-age
benefit, social security and unemployment compensation taxes pertaining to
such employment, insurance permium payments or credits to reserves for
workmen's compensation, overtime premiuma shift premiums, pension
contibutions, and military and sick leave allowances pertaining thereto.
(3) Other Direct Costs (exclusive of the coats covered by subparagraphs (4)
below) comprising the following:

(1) Subcontracted services in connection with the performance of this contract.

(ii) Overtime premium paid on direct labor covered by subparagraphs (2) above, to the extent such overtime is authorizad in writing by the COMMANDANT, U. S. Coast Guard.

(iii) Expenditures by the Contractor necassary for the performance of its undertakings hereunder for the transportation and reasonable subsistence of personnel directly engaged in the performance of this contract while in travel status.

(iv) Extradordinary plant rearrangement.

(4) Special Direct Costs comprising the following:

(1) Taxes to the extend provided in the clause of the Ceneral Provisions entitled "Federal, State, and Local Taxes."

(ii) Purchase and installation costs of special tooling, equipment, facilities and other property not intended for incorporation or consumption in the performance of this contract, subject to the provisions of the clause of the General Provisions entitled "Subcontracts."

(iii) Royalties to the extent provided in the clause of the General
Provisions entitled "Payment of Royalties."

(5) Contingent Direct Costs comprising the following:

(1) The cost of repair or replacement of Government Property and related costs, to the extent expressly assumed by the Government under the clause of the General Provisions entitled "Government Property."

(11) The costs which the Government has agreed to assume under the clause
of the General Provisions entitled "Insuranch-Liability to Third
Persons" of this contract exclusive, however, of the costs of any
insurance allocable to this contract or any Insurance required or
approved by the Government under sail clause, it being understood
that the cost of all such insurance has been taken into account in
establishing the overhead expensa percentage specified in paragraph
(b) hereof.

(iii) All costs, except (a) costs excluded by the other provisions of this contract or (b) costs sat forth in Section X of the Armed Services Procurement Regulation as unallowable, which in the opinion of the Contracting Officer, should be included in the cost of performing this contract, and any such seats shall be specifically certified by the Contracting Officer as being allowed under this subparagraph,

(b) to cover all overhead, indirect charges and all elements of cost excluded from or not covered by paragraph (a) hernes (herein collectively referred to as "overhead expense"), the following amount in lieu of the actual cost thereof.

(1) To cover all overhead expense, an amount equal to the percentage established pursuant to subparagraph (b) (2) hereof, of the palarins and wages paid under and covered by subparagraph (a) (2) herepf.

(2) Pursuant to the foregoing, and the claus in the Schedule entitled
"Negotiated Overhead Rates," a final overhead race shall be established by
negotiation between the Contractor and the Contracting Officer for the
initial period commencing with the date of this contract, and ending
with the close of the Contractor's fiscal year. Thereafter, ach final
overhead rate shall be redetermined by the Contractor and the Contracting
Officer for each succeeding twelve (12) pontha' period, or such period (1)
as may be mutually agreed upon.

Pending negotiation or determination of final overhead rate to apply for
any period, provisional payments on account of overhead expense shall be
made on the basis of a provisional rate of 126%. Provisional payments
for any period subsequent to the initial period shall be made on the basis
of the final rate negotiated for the immediately preceding period.

BEGOTIATED OVERHEAD RATES:

(a) Notwithstanding the provisions of the clause of this contract entitled "Allowable Cost, Fixed Fee, and Payment", the allowable indirect cost under this contract shall be obtained by applying negotiated overhodd rates to bases agreed upon by the parties as specified below.
