B. Personnel: Peace Corps Volunteers and Peace Corps Volunteer LeadersHealth, morale, effectiveness, placement, special problems.

d. Peace Corps reserves the right to utilize U.S. Government personnel or other official Peace Corps representatives to conduct research, studies and evaluations of CARE Peace Corps operations in Colombia as it deems reasonable and necessary.

ARTICLE VI. INSURANCE

a. CARE shall provide each Peace Corps Volunteer and Peace Corps Volunteer Leader with life insurance in the amount of ten thousand dollars ($10,000) for the term of their period of service.

b. CARE will provide for Peace Corps approval the insurance contract for the coverage required above.

c. CARE shall provide and thereafter maintain workmen's compensation insurance as required by United States Public Law 208, 77th Congress, as amended (42 USC 1651 et seq), prior to the departure for overseas employment and during that employment under this contract of all Peace Corps Volunteers and Peace Corps Volunteer Leaders who are hired in the United States or who are American citizens or bona fide residents of the United States.

d. CARE shall further provide for all employees who are nationals or permanent residents of the country in which services are being rendered, if the contract authorizes their employment, security for compensation benefits pursuant to the applicable law of such country for injury or death in the course of such employment, or in the absence of such law, employer's liability insurance. For all other authorized employees not hired in the United States or who are not American citizens or bona fide residents of the United States, CARE shall provide the necessary employer's liability insurance.

e. CARE agrees to insert the provisions of the above clause, including this paragraph, in all subcontracts or subordinate contracts hereunder, except subcontracts or subordinate contracts exclusively for furnishing materials or supplies.

ARTICLE VII. MEDICAL CARE

a. During the total period of service under this contract, CARE will provide Peace Corps Volunteers and Peace Corps Volunteer Leaders with medical and dental care, including hospitalization, together with other items and services incident to this responsibility, such as necessary travel, escorts, etc.

b. Medical care will include provisioning for necessary drugs and other items to be used by Peace Corps Volunteers and Peace Corps Volunteer Leaders for self medication of minor illnesses. CARE will also be responsible for continuing indoctrination of Peace Corps Volunteers and Peace Corps Volunteer Leaders in sanitation and personal hygiene as well as all other aspects of preventive medicine.

c. CARE will be responsible for making arrangements to insure that medical personnel and facilities are available to Peace Corps Volunteers and Peace Corps Volunteer Leaders, and will further provide such arrangements as are necessary for evacuation in the event of major illness. It will be the responsibility of CARE to provide the Peace Corps for approval a medical treatment plan for Peace Corps Volunteers and Peace Corps Volunteer Leaders, covering the total period of service. This plan will state in detail the arrangements which will be made to fulfill the obligations cited in this article.

ARTICLE VIII. TRANSPORTATION AND LOGISTIC SUPPORT

a. CARE will provide transportation for all Peace Corps Volunteers and Peace Corps Volunteer Leaders to training centers in the United States, selected by CARE and approved by the Peace Corps. CARE will provide transportation to the Peace Corps Volunteers' or Peace Corps Volunteer Leaders' legal residence if separated during training.

b. CARE will provide for the transportation of Peace Corp Volunteers and Peace Corps Volunteer Leaders to Colombia, both for approved training and to final duty stations and return transportation to their legal residence in the United States at the conclusion of tour. Transportation for approved leave or reassignment for Peace Corps Volunteers and Peace Corps Volunteer Leaders will also be provided by CARE within Colombia. If required by the Government, transportation for Peace Corps Volunteers and Peace Corps Volunteer Leaders

who are returned to the United States for any reason during the course of their service will be provided by CARE.

c. CARE will provide all work clothing, tools, and equipment to be used by Peace Corps Volunteers and Peace Corps Volunteer Leaders at duty stations. d. Transportation within the United States and from the United States to Colombia will be by the most economical air common carrier service, or its equivalent.

e. CARE will assist Peace Corps Volunteers and Peace Corps Volunteer Leaders in finding appropriate housing at duty stations, bearing in mind that it is the intention of the Peace Corps that Peace Corps Volunteers and Peace Corps Volunteer Leaders will live on a standard similar to that of their counterpart in Colombia, but sufficient to provide a minimum standard of living for maintenance of health and effectiveness.

ARTICLE IX. REMOVAL

a. Both the Peace Corps and CARE have the right of immediate removal of Peace Corps Volunteers and Peace Corps Volunteer Leaders for personal or program reasons. CARE will fully document to the Peace Corps the reasons for and actions taken in any such case, together with its recommendations, if any, for additional action in each specific case. The United States Ambassador

to Colombia or his designee may also remove any Peace Corps Volunteer or Peace Corps Volunteer Leader at his discretion.

ARTICLE X. ALLOWANCES

CARE will provide the following allowances:

a. Each Peace Corps Volunteer will receive a living allowance at the rate of one hundred and fifty dollars ($150) per month while on duty in Colombia.

b. Each Peace Corps volunteer will receive, while in training or in a travel status between training centers and from training centers to duty stations, two dollars ($2) per day, such allowance to begin on the day he departs from his place of residence to the initial training site.

c. Each Peace Corps Volunteer will be entitled during the course of one year's service to thirty (30) calendar days of leave, and will receive an additional leave allowance of five dollars ($5) per day during leave periods.

d. Each Peace Corps Volunteer will accumulate for each month of satisfactory service performed at both training and duty stations the sum of seventy-five dollars ($75). The total amount accumulated will be paid to the Peace Volunteer at the time of separation, less any approved deductions. The Volunteer may direct that this payment be made on a monthly basis to another person when he can demonstrate its need for such purposes as helping to support or educate a member of his family.

e. Each Peace Corps Volunteer Leader will accumulate for each month of satisfactory service performed at both training and duty stations the sum of one hundred dollars ($100). The total amount accumulated will be paid to the Peace Corps Volunteer Leader at the time of separation, less any approved deductions. The Volunteer Leader may direct that this payment be made on a monthly basis to another person when he can demonstrate its need for such purposes as helping to support or educate a member of his family.

f. Each Peace Corps Volunteer Leader will receive a living allowance of one hundred and seventy five dollars ($175) per month. If accompanied by a wife he will be paid an additional living allowance for her of 75% of his allowance or one hundred and thirty one dollars and twenty five cents ($131.25), and if by children an additional allowance for each of them of 25% of his allowance, or forty three dollars and seventy five cents ($43.75) each.

g. Each Peace Corps Volunteer Leader will be entitled to thirty (30) calendar days of leave per year and will receive an additional leave allowance for himself, and his wife and any children over twelve years of age at the rate of five dollars ($5) each per day during leave periods, and for any children under twelve years of age at the rate of two dollars and fifty centy ($2.50) per day each.

h. Peace Corps Volunteer Leaders will be reimbursed for travel expenses at actual and reasonable cost while in an approval travel status on official business.

ARTICLE XI. PROJECT DIRECTOR

a. The Columbia project will be under the direction of a project director selected by and responsible to CARE. Selection will be subject to the approval of the Peace Corps.

ARTICLE XII. ALTERATIONS AND ADDITIONAL PROVISIONS

a. Notwithstanding the provisions of the clause of this contract entitled, Allowable Cost and Payment, the following provisions supersede those contained in Peace Corps Cost Principles for Grants and Cost Reimbursement Contracts with Educational and Other Nonprofit Institutions dated April 19, 1961:

1. Equipment, tools and vehicles used by Peace Corps Volunteers and Peace Corps Volunteer Leaders in the field are not an allowable item of cost under this contract.

ARTICLE XIII. GOVERNMENT OPTION

a. If the Government is authorized to employ volunteers in a Peace Corps Volunteer Service, the Government may require CARE to terminate all of its contracts or other employment relationship with Peace Corps Volunteers and Peace Corps Volunteer Leaders in order to permit the Government to substitute in lieu of such contracts or relationship, employment in such Volunteer Service. b. If the Government exercises its right under Paragraph a, Peace Corps Volunteers and Peace Corps Volunteer Leaders who are thereby employed by the Government shall receive at least the rights provided them under this contract.

c. If the Government exercises its right under Paragraph a, all affected provisions of this contract shall be equitably adjusted.

d. CARE shall incorporate the substance of this article in all contracts or other employment relationship with Peace Corps Volunteers or Peace Corps Volunteer Leaders.

ARTICLE XIV. DEPENDENTS OF PEACE CORPS VOLUNTEER LEADERS

CARE shall provide the following for each Peace Corps Volunteer Leader with a wife and dependent children:

a. The same transportation and medical benefits provided to Peace Corps Volunteers and Peace Corps Volunteer Leaders.

b. The allowances set forth in Paragraph f of Article X of the Schedule of this Contract entitled "Allowances" during training in the United States, whether or not the Peace Corps Volunteer Leader is accompanied by his wife and dependent children.

ARTICLE XV. ESTIMATED COSTS

a. The total estimated cost of this contract is $749,196.

b. There is obligated as of the date of this contract the sum of $178,628 to fund that portion of the contract involving selection of Volunteers, and Volunteer Leaders, the training program in the United States, transportation to Colombia, the training program in Colombia and administrative expenses incident to these parts of the contract. The Government will add from time to time additional monies, subject to the availability of funds, but not to exceed the total estimated cost of this contract. Nothing in this paragraph is to be construed as limiting the rights of the parties set forth in Clause 3 entitled "Limitation of Cost" and Clause 4 entitled "Allowable Cost and Payment," both of the General Provisions of this contract.

ARTICLE XVI. OVERHEAD RATES

a. Pending establishment of final overhead rates in accordance with the clause of this contract entitled "Negotiated Overhead Rates," payment on account of all overhead will be made on the basis of billing rates approved by the Contracting Officer. The periods as contemplated by Paragraph b of said clause shall be for twelve (12) months each and the period shall extend from July 1, 1960.

ARTICLE XVII. CONTRACT CONTENTS

a. This contract consists of a Cover Page, a Schedule-Articles I through XVII-a Signature Page, and General Provisions Clauses 1 through 32.

The rights and obligations of the parties to this contract shall be subject to and governed by the Schedule and the General Provisions. To the extent of any inconsistency between the Schedule or the General Provisions, and any specifications or other provisions which are made a part of this contract by reference or otherwise, the Schedule and General Provisions shall control. To the extent of any inconsistency between the Schedule and the General Provisions, the Schedule shall control.

The Contractor represents that aggregate number of employees of the Contractor and its affiliates is: 500 or more, less than 500.

1. Definitions

As used throughout this contract, the following terms shall have the meanings set forth below:

(a) The term "Director" means the Director or Deputy Director of the Peace Corps; and the term "his duly authorized representative" means any person or persons or board (other than the Contracting Officer) authorized to act for the Director.

(b) The term "Contracting Officer" means the person executing this contract on behalf of the Government, and any employee who is a properly designated Contracting Officer; and the term includes, except as otherwise provided in this contract, the authorized representative of a Contracting Officer acting within the limits of his authority.

(c) Except as otherwise provided in this contract, the term "subcontracts" includes purchase orders under this contract.

2. Changes

The Contracting Officer may at any time, by a written order, and without notice to the sureties, if any, make changes, within the general scope of this contract, in any one or more of the following: (i) drawings, designs, specifications, or course content; (ii) method of shipment or packing; (iii) place of inspection, delivery or acceptance; and (iv) the amount of Government-furnished property. If any such change causes an increase or decrease in the estimated cost of, or the time required for, performance of any part of the work under this contract, or otherwise affects any other provision of this contract, whether changed or not changed by any such order, an equitable adjustment shall be made, (i) in the estimated cost or delivery schedule, or both, (ii) in the amount of any fixed fee to be paid to the Contractor, and (iii) in such other provisions of the contract as may be so affected, [and the contract shall be modified as may be so affected,] and the contract shall be modified in writing accordingly. Any claim by the Contractor for adjustment under this clause must be asserted within thirty (30) days from the date of receipt by the Contractor of the notification of change: provided, however, that the Contracting Officer, if he decides that the facts justify such action, may receive and act upon any such claim asserted at any time prior to final payment under this contract. Failure to agree to any adjustment shall be dispute concerning a question of fact within the meaning of the clause of this contract entitled "Disputes." However, nothing in this clause shall excuse the Contractor from proceeding with the contract as changed.

3. Limitation of cost

(a) It is estimated that the total cost to the Government for the performance of this contract will not exceed the estimated cost set forth in the Schedule, and the Contractor agrees to use its best efforts to perform the work specified in the Schedule and all obligations under this contract within such estimated cost. If at any time the Contractor has reason to believe that the costs which it expects to incur in the performance of this contract in the next succeeding thirty (30) days, when added to all costs previously incurred, will exceed seventy-five (75%) percent of the estimated cost then set forth in the Schedule, or if at any time, the Contractor has reason to believe that the total cost to the Government for the performance of this contract will be substantially greater or less than the then estimated cost thereof, the Contractor shall notify the Contracting Officer in writing to that effect, giving the revised estimate of such total cost for the performance of this contract.

(b) The Government shall not be obligated to reimburse the Contractor for costs incurred in excess of the estimated cost set forth in the Schedule, and the Contractor shall not be obligated to continue performance under the contract or to incur costs in excess of the estimated cost set forth in the Schedule, unless and until the Contracting Officer shall have notified the Contractor in writing that such estimated cost has been increased and shall have specified in such notice a revised estimated cost which shall thereupon constitute the estimated cost of performance of this contract. When and to the extent that the estimated cost set forth in the Schedule has been increased, any costs incurred by the Contractor in excess of such estimated cost prior to the increase in estimated cost shall be allowable to the same extent as if such costs had been incurred after such increases in estimated cost.
