dends as they may deem proper out of the real profits arising out of said rail road, after defraying all expenses, cost and charges incident to the construction and repairs thereof, and the dividends shall be divided according to the respective interest of the stockholders. Be it further enacted, That any corporation established and chartered by the legislature of this state may with the approbation and consent of the commissioners herein before appointed, or with the consent of the president and directors when elected subscribe take and hold stock in the said company, and be entitled to all rights, privileges and interest therein, as if the same were a natural person and subject to the same rules, regulations and restrictions. Sec. 17. Be it further enacted, That the president and directors shall have power and be part in authority either by themselves or by their agent or agents to make any contract or agreement with any stockholder or stockholders to receive from any such stockholder or stockholders his her, or their instalments, or any portion thereof, from time to time in the labor of able bodied slaves, or other able bodied persons whose labor shall be employed in and upon the construction and repair of said road, and the certificate of the superintendant under whose care and direction such labor may be employed upon said rail road, stating the value in dollars and cents, for the labor done and performed by the hands of such stockholder on said road shall be received by the president and directors and passed to the credit of the stockholder who may have caused such labor to be performed, as so much cash upon such instalments as may be called upon his, her or their stock, provided, the value of such labor shall be agreed upon and stipulated before the same is performed, and provided further, that such work shall be performed and the certificate given before or by the time the instalments are due, upon which the same may be credited, which certificate shall not be transferable or negotiable, and any such certificate given before any such labor shall have been performed shall be utterly void. forfeited. Sec. 18. Be it further enacted, That if any stockholder or stockholders shall fail or refuse to pay in the instalments that may be due upon his, her or their stock, according to the provisions of this charter, and the by-laws of said company, then and in that case the Stock to be stock of such defaulting stockholder shall be forfeited to the company, and any and all instalments previously paid in upon such delinquent stock shall likewise be forfeited to said company, and the president and directors, or a majority of them shall forthwith proceed to advertise said delinquent stock for sale, and after having advertised the same for the space of sixty days, shall sell the same for the benefit of the company, Provided, that if such delinquent stockholder shall on or before the day of sale, pay over to the president and directors or to such other persons as they may appoint the amount of his, her or their instalment in arrears with the ten per cent thereon, and also pay the expenses (if any) of advertising such sale, then and in that case the forfeiture or forfeitures of stock and instalments shall be set aside by the president and directors and the same shall be restored to such stockholder or stockholders. Sec. 19. Be it further enacted, That this act shall be in force and take effect from and after its passage. Sec. 20. And be it further enacted, That the provisions of this act shall not exempt the Mississippi rail road company or any of its stockholders from their liability to the state, or to the said company for their stock, and that this act shall be in force and take effect so soon as the directory of the said Mississippi rail road company shall have given their assent by a resolution of the board, an attested copy of which shall be filed in the office of Secretary of State. Approved, February 5th, 1841. CHAPTER 111. AN ACT to legalize the lease of certain school lands in the county of Coahoma. SECTION 1. Be it enacted by the Legislature of the State of Mississippi, That the lease of the school lands, made by the trustees to James W. Lunsford, John W. Miller and Hugh Valley, lying in township twenty-six, range seven west, on the seventh day of October, one thousand eight hundred and thirty-nine, in the county of Coahoma, be, and the same is hereby confirmed, and made good and efficient in law so soon as the lease money shall have been paid for the same. Sec. 2. And be it further enacted, That this act shall be in force from and after its CHAPTER 112. AN ACT to incorporate the Commerce Male and Female Academy. SECTION 1. Be it enacted by the Legislature of the State of Mississippi, That J. H. Hudson, George Taylor, R. Borland, Dunn, James M. Logan and R. Bridges be, and they are hereby constituted a body corporate, under the name and style, of the President and Trustees of the Commerce Male and Female Academy, and made capable by this name of exercising all the powers granted to the board of trustees of the Tuscahoma Academy by an act approved February 2d, 1838. Sec. 2. And be it further enacted, That this act shall take effect from and after its passage. Approved January 27th, 1841. CHAPTER 113. AN ACT to incorporate the officers and members of "Warren Lodge, No. 3, of the Independent Order of Odd Fellows," of the State of Mississippi, at Vicksburg. SECTION 1. Be it enacted by the Legislature of the State of Mississippi, That the officers and members, and all who shall hereafter become and continue members of Warren Lodge, No. 3, of the Independent Order of Odd Fellows, of the state of Mississippi situated in Vicksburg, be, and they are hereby constituted, a body corporate and politic under the aforesaid name and style, with the full power in their corporate capacity, to sue and be sued, plead and be impleaded, to purchase and hold, real and personal estate, to an amount not exceeding (50,000) fifty thousand dollars, and may sell and dispose of the same in such manner as may be deemed most conducive to the interest of said Lodge; and to do and perform all the acts incident to bodics corporate of this kind; They shall have power to enact such by-laws as may be necessary for the well-being and proper management of said Lodge, not inconsistent with the constitution and laws of this State or of the United States. Sec. 2. And be it further enacted, That this act shall take effect, from and after its passage. Approved February 6, 1841. Levi Moore build a CHAPTER 114. AN ACT to authorize Levi W. Moore to build a SECTION 1. Be it enacted by the Legislature of the State of Mississippi, That Levi W. Moore be, and he is hereby authorized authorized to build a toll bridge across the Chickasawtou bridge, ha river, at or near Phelps' old ferry, on said river; and that said bridge be so constructed as not to impede the navigation of said river.
