tofore required to be held, shall have the same effect, and be returnable to the next term of the circuit court of said county, at the place selected as the site of justice, under the provisions of this act. Sec. 9. And be it further enacted, That this act shall take effect and be in force from and after its passage; and that all acts contravening the provisions of this act, be, and the same are hereby repealed. Approved, February 5th, 1841. CHAPTER 55. AN ACT concerning the Assessors and Collectors of Taxes for the counties of Tippah and Ponola, Mississippi. SECTION 1. Be it enacted by the Legislature of the State of Mississippi, That Samuel N. Pryor, assessor and collector of taxes of the county of Tippah, Mississippi, and the collector of taxes of Ponola county, be authorized to make their returns for the fiscal year 1840, to the auditor of public accounts of this state, on the first Monday in May, 1841. Sec. 2. And be it further enacted, That this act shall be in force from and after its passage. Approved, February 5th, 1841. : Commis CHAPTER 56. AN ACT to incorporate a Toll Bridge Company over the Yazoo Pass. SECTION 1. Be it enacted by the Legislature of the State of Mississippi, That for the erection and construction of a toll bridge sioners ap- over the Yazoo pass, in the county of CoaOpen books. homa, William M. Brown, G. B. Warren, pointed to David B. Allen, Mathew Farrar, J. J. Hopson, Curtis G. Jefferis, or any three of them, be, and they are hereby appointed Commissioners, in the county of Coahoma, to open books for stock, and that J. G. H. McGarey, Harden S. Adams, and - Allen, or a majority of them in the county of 'Tunica, for the same purpose; the books shall remain open until fifteen hundred dollars are subscribed for, in shares of ten dollars each, and may continue open until a sufficient sum is subscribed, to complete said bridge; and as soon as one thousand dollars is subscribed, the commissioners, or any five of them, shall give public notice thereof in the newspaper printed in Commerce, in the county of Tunica, and also cause written notices to be put up at such places as they may think best, to give general notice to the stockholders, for the purpose of convening them, at such place as they may designate, within the limits of said counties, and when thus convened, the stockholders shall elect from among themselves, five directors, who shall at such time and place as they may appoint, convene and elect one of their number a president, and the president and directors thus elected, shall continue in office twelve months from and after their appointment, and before they enter upon a discharge of their duties, they shall be sworn before some justice of the peace, or other legal officer having power so to do, that they will faithfully and honestly discharge the duties that may devolve upon them as such, and at the expiration of the year, or as soon thereafter as may be convenient, successors shall be elected by the stockholders of the said toll bridge company, upon notice given in writing by two or more stockholders, of the time and place of said election, (which shall not be less than ten days.) a corporate Sec. 2. Be it further enacted, That as soon as the sum of one thousand dollars may To become be subscribed, the subscribers shall be a bo-body dy politic and corporate, by the name and style of the "Coahoma Toll Bridge Company," and by that name shall be capable of purchasing and holding, to sue and be sued, plead and be impleaded, in any suit or action at law, or in equity, and they may make and put into execution all by-laws and rules, which may be deemed expedient and proper, not inconsistent with the laws of this state, or the provisions of this act. Sec. 3. Be it further enacted, That each and every stockholder shall be entitled to vote in person, or by proxy, in all matters in which said corporation may be interested, one vote to each share, not exceeding ten shares, and then every two shares above that public or private con tract. number shall entitle the owner or owners to an additional vote. Sec. 4. Be it further enacted, That as soon after the election of the president and Beilding to directors of said toll bridge company, as they may deem expedient, may proceed to let the building and constructing of said bridge, either at public or private contracts, and upon such terms and conditions as they may adopt and require, and to carry out the objects and purposes of said toll bridge company, as contemplated by this act. The president and directors shall have full power and authority, and they are hereby authorized to require so much of the stock, on each share subscribed for, as they may deem necessary, from time to time, not to exceed however, at any time, more than thirty per cent. on each share, after giving twenty days notice in writing of the time and place of paying such calls; and if any stockholder or stockholders, in said toll bridge company, their assigns or legal representatives, shall fail or refuse to pay such calls, that may from time to time be required by an order of the president and directors, and to such person or persons as they may direct and require the same to be paid, to meet any contract made by the president and directors for said toll bridge company, the stock of such stockholder or stockholders, or their assigns or legal representatives, shall be sold to the highest bidder, on giving the like notice of twenty days, of the time and place of the same, or so much thereof as the president and directors think fit and proper to sell, belonging to such defaulting stockholder or stockholders, or to their legal representatives; and the president and directors shall transfer, or cause to be transferred such stock sold to the purchaser or purchasers, by their secretary, and the amount that may have been paid upon such stock shall be forfeited. Sec. 5. Be it further enacted, That it shall be the duty of the president and directors of said toll bridge company, to have the bridge well constructed, and to be at least twelve feet wide, and that when they may consider the said bridge fit for use, they may apply to the board of police of Coahoma county, to have three disinterested freeholders appointed to examine said bridge, and report thereon immediately to said court in writing, whether the same is fit for use, and the commissioners report favorable, then, and not till then, shall toll be received. Sec. 6. Be it further enacted, That when said bridge shall be completed, to be ascertained as aforesaid, the board of police of the county of Coahoma, shall affix the rates of toll. Sec. 7. Be it further enacted, That if any person shall refuse to pay the tolls allowed to be charged and received by said company, or shall attempt to evade the provisions of this act, he shall be liable in the penalty of five dollars, to be recovered in the name of the president and directors of said company, before any justice of the peace. Sec. 8. Be it further enacted, That said toll bridge shall be so constructed, as not to obstruct the navigation of said Yazoo pass. |
