this Article from all persons who perform any part of the work under this Contract, except such clerical or manual personnel

as will not have access to technical data.

g. Neither anything provided in this Contract nor the exercise by the Government of any rights authorized herein shall be construed so as to have any effect whatsoever on the Government's right to contest the ownership, validity, enforceability, and scope of any patent issued the Contractor, or any other rights of the Government under Section 152 of the Atomic Energy Act of 1954, as amended.

h. The license granted by the foregoing section b(2) and c(2), the obligation to license third parties under section e, and the obligation of the Government to pay reasonable royalties under this Article VIII shall survive any termination of this

Except as otherwise directed by the Contracting Officer, the Contractor shall procure all necessary permits or licenses and abide by all applicable laws, regulations, and ordinances of the

United States and of the State, territory, and political sub

division in which the work under this contract is performed.

ARTICLE X

Contractor's duty to safeguard Restricted Data,

Formerly Restricted Data, and other classified information. In the performance of the work under this contract, the Contractor shall, in accordance with the Atomic Energy Commission's security regulations and requirements, be responsible for safeguarding Restricted Data, Formerly Restricted Data, and other classified information and protecting against sabotage, espionage, loss and theft, the classified documents and material in the Contractor's possession in connection with the performance of work under this contract. Except as otherwise expressly provided in this contract, the Contractor shall, upon completion or termination of this contract, transmit to the Commission any classified matter in the possession of the Contractor or any person under the Contractor's control in connection with performance of this contract. If retention by the Contractor of any classified matter is required after the completion or termination of the contract and such retention is approved by the Contracting Officer, the Contractor will complete a

certificate of possession to be furnished to the Atomic Energy Commission specifying the classified matter to be retained. retention is approved by the Contracting Officer, the security provisions of the contract will continue to be applicable to the matter retained.

Regulations. The Contractor agrees to conform to ⚫

all security regulations and requirements of the Commission.

Definition of Restricted Data. The term "Restricted

as used in this article, means all data concerning

(1) design, manufacture, or utilization of atomic weapons; (2) the production of special nuclear material; or (3) the use of special nuclear material in the production of energy, but shall not include data declassified or removed from the Restricted Data category pursuant to Section 142 of the Atomic Energy Act of 1954, as amended.

d. Definition of Formerly Restricted Data. The term "Formerly Restricted Data," as used in this article, means all data removed from the Restricted Data category under Section 142d. of the Atomic Energy Act of 1954, as amended.

e. Security clearance of personnel. The Contractor

shall not permit any individual to have access to Restricted Data, Formerly Restricted Data, or other classified information, except

in accordance with the Atomic Energy Act of 1954, as amended, and the Commission's regulations or requirements applicable to

the particular type or category of classified information to which access is required.

f. Criminal liability. It is understood that disclosure of Restricted Data, Formerly Restricted Data, or other classified information relating to the work hereunder to any person not entitled to receive it, or failure to safeguard any Restricted Data, Formerly Restricted Data, or any other classified matter that may come to the Contractor or any person under the Contractor's control in connection with work under this contract, may subject the Contractor, its agents, or employees, or subcontractors to criminal liability under the laws of the United States. (See the Atomic Energy Act of 1954, as amended, 42 U.S.C. 2011 et seq.; 18 U.S. C. 793 and 794; and Executive Order 10501, as amended.)

a. The Commission will arrange, at the Contractor's expense, to process requests for sufficient security clearances of Contractor-designated individuals to enable the Contractor to have in its employ the number of individuals the Commission

considers necessary in light of the Contractor's level of effort

hereunder cleared for access to classified information in the

Contractor's possession or developed in the course of the work

under this contract.

Except as specifically approved by the Commission: (1) no security clearance will be processed for any individual who has had access to Restricted Data concerning atomic weapons or to any Defense Information which the Commission considers relevant to work under this contract; and (2) the Contractor will not use, for work under this contract, the services of any individual who has been previously cleared for such access. Approval is hereby specifically given for the use of all employees of the Contractor who have been authorized access to classified information generated by the Contractor in the field of controlled thermonuclear reactions prior to the effective date of this contract. Except as specifically approved by the Commission, no employee or consultant of the Contractor will be authorized access to any other classified information in either the atomic energy field or the laser field until such individual's association with work under this contract has been terminated. Therefore, no scientific or technical employee or consultant of the Contractor may engage in any work for the
