I have registered under the Act as attorney for TransAlta Resource a subsidiary of a TransAlta Utilities, a Canadian utility, in connection with Clean Air Act legislative and regulatory matters relating to a U.S. clean coal technology project.

Possible conflicts could arise from my representation of clients

while in private practice. My client relationships are described in Question 21. The recusal requirements to which I will be subject are described in Attachment D.

23. Describe any lobbying activity which you have performed during the past 10 years with respect to legislative or administrative actions at the Federal, State or local level. See Attachment A.

24. Have you been informed of the conflict of interest laws and regulations applicable to the position to which you have been nominated?

Yes.

25. Explain how you will resolve any potential conflict of interest that may be disclosed by your responses to this form and the attachments thereto. Question 13:

Van Ness. Feldman & Curtis represented the Republic of Palau in negotiations with the United States on termination of U.S. trust responsibilities during the period 1978-1986. The Firm also represented the Republic of Kenya on issues relating to flourspar stockpiles in 1989. I had no personal involvement in either representation.

Question 17:

On March 30, 1993, we filed amended FICA returns and District of Columbia Unemployment tax returns for 1990, 1991 and 1992, to pay FICA and unemployment taxes for a one-day-perweek domestic for whom such taxes had not been paid when due. In addition, W-2 forms for that period were also filed. The IRS subsequently billed us for interest, which has been paid. I understand that the District of Columbia may bill us for any interest and penalties that may be due. The domestic is a U.S. Citizen, who is currently receiving social security benefits.
