2. Where a CO is issued the Contractor shall furnish a firm proposal within thirty (30) days after receipt of the Change Order.

The price, terms and conditions, and delivery schedule shall be established by negotiation in accordance with the procedures of the clause of this contract entitled "Changes." Failure to agree to any adjustment shall be a dispute concerning a question of fact within the meaning of the clause entitled "Disputes."

No interim release is permitted for retrofit kits for spare parts, AGE or spare parts for AGE unless specifically authorized by written order referenced in paragraph 1 above.

Following pertains to items procured through provisioning action. Preservation and packaging shall be in accordance with Level A requirements as prescribed by MIL-STD-794. Contractor shall comply with detailed preservation and packaging requirements which may be,at the option of the Air Force, furnished during provisioning/source coding meetings. Contractor shall develop and submit preservation and packaging data in accordance with requirements of MIL-STD-834 for ONLY those items for which the Air Force does not stipulate detailed requirments prior to or during provisioning/source coding meetings.

PACKING REQUIREMENTS

Packing and shipping containers shall be in accordance with the requirements stipulated below.
When only the level is shown, containers shall comply with applicable requirements of MIL-STD-794.

Unless otherwise stipulated as a part of a particular ASI or SI, item(s) being shipped in response to ASI's or SI's to this contract will be preserved. packaged, and pocked in accordance with the requirements of MIL-STD-794 to comply with the level(s) stipulated below. Items for which a TPO specification is stipulated on the AFLC Form 872.872A attached to the basic contract will be processed in accordance with the TPQ/specification requirement for the appropriate level(s) stipulated below. Items for which Level A P/P requirements are stipulated on the AFLC Form 872/872A attached to the basic contract will be processed in accordance with those Level A P/P requirements when Level A P/P is stipulated Below for the new destination(s).

NOTE: Level C P/P for items using PPP-B-001672 containers requires compliance with only the wrap, cushioning, and unit

container of the type and size specified in the coded P/P data.

Repackaging/repacking of items which have been preserved, packaged, or packed to a level which exceeds the requirement specified below is required when delay of shipment is permissible, and savings to be realized in packaging and transportation costs will exceed the total costs of such repackaging/repacking. All changes in preservation, packaging, and packing required in response to an ASI or SI shall be reported to the responsible Administrative Contracting Officer for analysis. Any changes in cost of performance resulting from ASI's or St's shall be processed in accordance with the clouse of this contract entitled "Changes."

PRODUCTION MANAGEMENT

A. Production Management System. The prime contractor shall establish a production management system and maintain production management capability to implemont the requirements of the contract.

B. Production Plan. The Production Plan as generated and approved for use on contract F33657-75-C-0004 shall apply to this contract. Any changes required to the production plan shall be prepared and submitted in accordance with the contract and the accompanying CDRL The production plan will be sufficiently comprehensive to ascertain with a high degree of confidence that the contractor has adequately evaluated and planned for production and monitor the contractual effort to assure the timely and effective execution of the production program.

C. Production Status. Production progress reports shall be prepared and submitted in accordance with contract clause (Production Progress Reports Apr 1971), DAR Clause 7-104.51 and the reporting requirement in CDRL.

D.

Subcontractor Surveillance. Responsibility for the management visibility and control of subcontractors rests with the prime contractor. However, to assure that this management responsibility is effec tively discharged, the following surveillance procedures are hereby Involved.

(1) The prime contractor will survey subcontractors and identify critical subcontractors for special management attention. Critical subcontractors are defined as component vendors whose products require significant design effort, the construction of complex end items, high dollar outlay, or the identification of funding for long lead procure

ment.

(2) The prime contractor will Include in his production plan a make-or-buy plan which adequately delineates high risk work to be subcontracted. The prime contractor will devise an advanced procurement plan.

(3) Information relating to the selection of critical subcontractors and information contained in the advanced procurement plan will be made available to the government.

(4) To maintain management visibility at the subcontractor level, the government will periodically be granted access Into the subcontrac

E. Production Lead Times. The management and control of production lead times is the responsibility of the prime contractor. To assure that production delivery schedules are met, the prime contractor will utilize existing government assistance procedures to the fullest

extent.

(2) The prime contractor will insure that all the requirements of the Defense Materials System, Reg 1, the Defense Priorities System, Reg 1, and Priorities, Allocations, and allotments Clause are fully understood, correctly utilized and applied in accordance with the referenced regulations.

(3) Should fuel or oil shortages arise, the contractors will utilize the appropriate agencies of the Department of Energy to obtain guidance and assistance.

(4) The prime contractor, subcontractors and vendors will utilize the Priorities Assistance Program managed by the Joint Aeronautical Materials Activity (JAMAC) at Wright-Patterson AFB to obtain scarce defense materials and supplies. The prime contractor must verify stated impacts and attempt to resolve problems at local levels whenever possible. Further, the prime contractor will request assistance from the local AFPRO/DCAS in obtaining priorities assistance before initiating the Bureau of Domestic Commerce Form 138, Request for Priorities Assistance.

F.

Government Facilities. The prime contractor will minimize the use of government facilities in the performance of this contract and in the performance of subcontracts that support this contract.

(1) If the contractor enters into other subcontracts with subcontractors who have government-owned facilities provided to them under Facilities Contracts which provide that no-charge use may be authorized, the Contracting Officer may authorize the use of such facilities on a no-charge basis, provided (i) he determines that such use will not give the subcontractor a favored competitive position, and (ii) this contract is amended to reflect adequate consideration to the government for the use of such facilities on a no-charge basis. Such subcontracts shall specifically authorize the no-charge use, and require the manual approval of the Contracting
